These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with Just Junk Franchising Corp. (which offers services in Canada) and Just Junk USA Corp. (which offers services in the United States) (“Just Junk”, "us", "we", or "our"), our website, https://www.justjunk.com website, and our services (together, the "Service").

Just Junk operates a franchise network through which our independent franchisees provide their services to remove unwanted materials/items from residential and commercial properties.

Your access to and use of the Service is based on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms and accept all legal consequences. If you do not agree to these terms and conditions, in whole or in part, you are not permitted to use the Service.
You hereby acknowledge and agree that we reserve the right at any time to modify or discontinue the whole, or any part of, the Service, without notice, and that we will not be responsible or liable, directly or indirectly, to you or any other person or entity for any loss or damage of any kind incurred as a result of any such modifications or discontinuance.

INTELLECTUAL PROPERTY

The Service and all contents, including but not limited to text, images, graphics or code (“Content”) are the property of Just Junk Franchising Corp., Just Junk USA Corp., and/or their licensors, and are protected by copyright, trademarks, database and other intellectual property and proprietary rights. You may display and copy, download or print portions of the material from the different areas of the Service only for your own non-commercial use. Any other use is strictly prohibited and may violate copyright, trademark and other laws. Any rights not expressly granted to you in these Terms of Use are expressly reserved by us. You agree that you will not take any action that is inconsistent with our ownership of the Service and/or the our ownership of, or any third party’s ownership of, any content on the Service.

For certainty, these Terms do not grant you a license to use any trademark of Just Junk Franchising Corp., Just Junk USA Corp., or their affiliates. You further agree not to use, change or delete any proprietary notices from materials

downloaded from the Service.

CODE OF CONDUCT

Certain features and/or portions of this website may (or may in the future) permit you to upload, post or otherwise transmit material, feedback, information and/or other content that you have created (the “User Content”). By using the Service:

1. You agree that you shall not use the Service to upload, post, communicate or otherwise submit or transmit through, or to, the Service any User Content that:
   
   i. may, in our sole and absolute discretion, degrade, disparage, tarnish or deprecate Just Junk and/or the public image or standing in the community of Just Junk, provided it is understood that this shall not be interpreted to prohibit you from expressing your true and honest experience with Just Junk or its services or products in a manner prohibited under applicable law;
   
   ii. is deemed, in the sole and absolute discretion of Just Junk, to be defamatory, trade libelous, pornographic or obscene;
   
   iii. is deemed, in the sole and absolute discretion of Just Junk, to contain, depict, include, discuss or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups; content that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of other individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of Just Junk; any identifiable third party products, trade-marks, brands and/or logos, other than those of Just Junk; conduct or other activities in violation of these Terms; and/or any other content that is or could be considered inappropriate, unsuitable or offensive, all as determined by Just Junk in its sole and absolute discretion;
    
   iv. contains any reference to or likeness of any identifiable third parties, unless consent has been obtained from each such individual and his/her parent/legal guardian if he/she is under the age of majority in his/her jurisdiction of residence;
    
   v. infringes, or might infringe, the intellectual property rights, privacy rights, rights of publicity, or other proprietary rights of others or give rise to any claims for payment whatsoever;
    
   vi. contains any viruses, trojan horses, time bombs, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; and/or
   
   vii. contains (in any format or media) any music, logos, trade-marks or other copyrighted materials (e.g. photographs, pictures, texts, lyrics, etc.) unless you have first obtained consent from the owner of such materials.
   
   
2. You agree that you shall not use the website or the Services to:
   
   i. disrupt, place unreasonable burdens or excessive loads on, interfere with or attempt to gain unauthorized access to any portion of the website or Services;
   
   ii. use, copy, modify, download or transfer the website or Services or any component of the website or Services (including, without limitation, the Content), in whole or in part, except as expressly provided in this Agreement;
   
   iii. (A) reverse engineer, disassemble, decompile, or translate the website or Services or any component of the website or Services (including, without limitation, the Content); (B) attempt to derive the source code of the website or Services or any component of the website or Services (including, without limitation, the Content); (C) create any derivative work from the website or Services or any component of the website or Services (including, without limitation, the Content); and/or (D) authorize or assist any third party to do any of the foregoing;
   
   iv. rent, lease, loan, resell, or otherwise distribute the website or Services or any component of the website or Services (including, without limitation, the Content);
   
   v. remove or alter any proprietary notice or legend regarding Just Junk’s, or any third party’s, proprietary rights in the website or Services or any component of the website or Services (including, without limitation, the Content);
   
   vi. remove, circumvent or disable any rights management or protection tools we use on the site or in respect of any Content;
   
   vii. use the website or Services or any component of the website or Services (including, without limitation, the Content) except in accordance with the terms of this Agreement and all applicable laws and regulations;
   
   viii. collect information about others without their consent; and/or
   
   ix. upload, post, email, transmit or otherwise make available any content that you do not have the right to disclose or make available.
   
   Further, you agree that you shall not engage in prohibited or unauthorized use of the website or Services, or of Just Junk systems, including, but not limited to, unauthorized entry into the systems, misuse of passwords, or misuse of any information on the Site or Services.

YOUR CONTENT AND REPRESENTATIONS

By providing User Content, you are giving Just Junk permission to forever use any User Content you submit.

By providing User Content, you: (i) grant Just Junk a world-wide, perpetual, irrevocable, transferable, sub-licensable, royalty-free, non-exclusive, and unrestricted license to copy, reproduce, adapt, transmit, edit, modify, or otherwise use, publicly display, distribute, translate and create compilations and derivative works from, any and all User Content (in any format or media) that you submit; and (ii) waive all moral rights in and to all User Content in favour of Just Junk. For greater certainty, this means that, among other things, Just Junk has the right to use any and all ideas you submit (including ideas about our plans, services, publications or campaigns) in any manner that we choose, without any notice or obligation to you whatsoever.

By providing User Content, you hereby acknowledge, agree, warrant and represent to Just Junk that any and all User Content (in any format or media) you post on, upload to or otherwise submit to or through, the Site:

1. is original to you and that you have obtained all necessary rights in and to the User Content and all of its components (if applicable) to post, upload, or otherwise submit it; and

2. does not violate any law; and
3. complies with these Terms.

Without limiting the generality of the foregoing, you also hereby acknowledge, agree, warrant and represent to Just Junk that:
 
1. we cannot (nor are we required to) guarantee the accuracy, reliability or completeness of any User Content; and
2. we do not generally screen or edit User Content, but that we reserve the right, in our sole and absolute discretion and at any time, although we are under no legal obligation to do so, to monitor, edit or otherwise remove, without any notice and without obligation or incurring any liability, any User Content (or any portion of any User Content) on the website.

INFRINGING CONTENT

We reserve the right, in our sole and absolute discretion, to modify, edit or remove any Content, including any User Content, if a complaint or notice of allegedly infringing materials is received with respect to such content, or for any other reason.

Subject to applicable law, and our Privacy Policy in respect of your personal information, in no event will the information you provide on or through the website be deemed to be confidential, create any fiduciary obligations to you on our part, or result in any liability to you on our part in the event that such information is inadvertently released by us or accessed by third parties without your consent. To the fullest extent permitted by law, Just Junk Franchising Corp. and Just Junk USA Corp., their franchisees, and their respective principals, officers, directors, representatives, employees, contractors, partners, licensors, licensees, suppliers, affiliates, and agents, shall not be liable for any loss or damage, direct or indirect, incidental, special, consequential or punitive damages, including without limitation, economic loss, loss or damage to electronic media or data, goodwill, or other intangible losses, resulting from (i) your access to or use of the Service; (ii) your inability to access or use the Service; (iii) any conduct or content of any third-party on or related to the Service; (iv) any content obtained from or through the Service; and (v) the unauthorized access to, use of or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other claim in law, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

DISCLAIMER AND NON-WAIVER OF RIGHTS

Just Junk Franchising Corp. and Just Junk USA Corp. make no guarantees, representations or warranties of any kind as regards the website and any associated technology. Any purportedly applicable warranties, terms and conditions are excluded, to the fullest extent permitted by law. To the fullest extent permitted by law, your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance, except as provided for under the laws of Canada or any province in Canada. In such cases, the applicable law shall apply.

Just Junk Franchising Corp. and Just Junk USA Corp. its franchisees, subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

If you breach any of these Terms and Just Junk Franchising Corp. and Just Junk USA Corp. choose not to immediately act, or choose not to act at all, Just Junk Franchising Corp. and Just Junk USA Corp. will still be entitled to all rights and remedies at any later date, or in any other situation. Just Junk Franchising Corp. and Just Junk USA Corp. do not waive any of their rights. Just Junk Franchising Corp. and Just Junk USA Corp. shall not be responsible for any purported breach of these Terms caused by circumstances beyond their control. A person who is not a party to these Terms shall have no rights of enforcement.

You may not assign, sub-license or otherwise transfer any of your rights under these Terms. These Terms are binding upon you, your heirs, executors, beneficiaries, successors and assigns and you may not assign this agreement to any other party without our prior written consent, which consent may be withheld in our sole and absolute discretion.

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you. Provincial laws of Canada may apply to certain products and service provided.

GOVERNING LAW, GENERAL

These Terms shall be governed by, and interpreted and enforced in accordance with, the laws in the Province of Ontario and the laws of Canada, as applicable, without giving effect to their conflict of law principles.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, then such provision shall be severed, and any remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements, oral or otherwise, regarding the Service.

We reserve the right, in our sole and absolute discretion, to modify all or any portion of these Terms at any time without incurring any liability or obligation whatsoever to you or any other person or entity.
